Team Hired User Agreement_Outbound Marketing Full-Time TCPA Team Hired Terms of Agreement This Telemarketing Opt-In Lead Agreement (“Agreement”) is entered into on the date of electronic signature (“Effective Date”), by and between the authorized signer for the Client (“Client”), and Team Hired (“Company”). WHEREAS, the Client engages in providing opt-in leads (“Leads”) for various products and services; and WHEREAS, Company desires to assist with contacting such Leads on behalf of the Client, NOW, therefore, in consideration of the mutual promises contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. PROVISION OF LEADS The Client agrees to provide and Company agrees to contact the Leads under the terms and conditions set forth in this Agreement 2. LEAD OPT-IN The Leads provided by the Client to Company under this Agreement are opt-in leads. The Leads have consented to receive marketing and promotional phone calls about the Telemarketer’s products or services. 3. CLIENT’S RESPONSIBILITIES 3.1 The Client acknowledges that it is their responsibility to scrub the Leads against the National Do Not Call Registry (“DNC”) and any applicable state DNC lists prior to providing Company with the Leads for the purpose of making any telemarketing calls. 3.2 The Company agrees to comply with all federal, state, and local laws and regulations regarding telemarketing activities, including, but not limited to, the Telephone Consumer Protection Act (“TCPA”) and the Federal Trade Commission’s Telemarketing Sales Rule. 3.3 The Client agrees to maintain proper consent records and provide such records to the Company upon request. 4. INDEMNIFICATION The Client agrees to indemnify and hold harmless the Company from any and all claims, actions, lawsuits, damages, and expenses, including attorney fees, arising from the Company’s use of the Leads and any violation of this Agreement or any law or regulation by the Client. 5. TERM AND TERMINATION This Agreement shall commence on the Effective Date and continue until terminated by either party with thirty (30) days’ written notice. 6. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the state of New York.
