Team Hired Terms of Services

These Terms of Service (the “Terms”) are agreed to by the undersigned “Client” for the benefit of Team Hired, along with its parent companies, affiliates, directors, officers, employees, contractors, attorneys,
agents, successors, and assigns (“Team Hired”), in connection with the virtual assistant (“VA”) placement and support services described in these Terms and the materials accompanying them (the Services).
If these Terms contradict, vary from, or conflict with any accompanying materials, these Terms shall
control.
1. Scope of Services: Placement and Support Only 
Team Hired’s role under these Terms is solely to: (a) source, screen, and place independent contractor VAs with Client; (b) collect Client’s payment and allocate it as described in Section 4; and (c) provide optional training, coaching, management support, replacement support, and related resources intended
to support the success of the placement.
Team Hired is not, and shall not be deemed to be, the employer, joint employer, co-employer, staffing agency employer, employer of record, payroll provider, or agent of any VA. Team Hired does not supervise, direct, or control the day-to-day work of any VA.
2. Month-to-Month Services
Client acknowledges and agrees that Services are provided on a month-to-month basis. There is no fixed service period under these Terms unless separately agreed in writing by both parties. Client may continue receiving Services on a monthly basis for as long as Client remains active and current on payment. Team Hired may provide VA recruitment support, onboarding support, training resources, educational content, replacement support, coaching, and related tools as part of the Services.
3. Cancellation Process and 14-Day Written Notice
Client may cancel month-to-month Services by providing at least fourteen (14) days; written notice to Team Hired. Written notice may be provided through the official cancellation process or written method designated by Team Hired. Cancellation will take effect fourteen (14) days after Team Hired receives the written notice. Client’s billing will continue through the 14-day notice period. Any outstanding balances must be paid in full. No verbal cancellation will be accepted unless confirmed in writing by Team Hired.
4. Payment; Allocation of Fees
Client agrees to pay all fees as and when required for the Services. Client authorizes Team Hired to store and charge any payment method on file for agreed-upon fees, monthly service charges, and outstanding balances.
Client acknowledges and agrees that each payment made by Client is allocated as follows: (a) a portion is retained by Team Hired as compensation for Team Hired’s placement, training, management support, and related Services; and (b) the remaining portion is remitted by Team Hired to the VA, on Client’s
behalf, as a courtesy payment-facilitation service, in satisfaction of Client’s payment obligation to the VA for the VA’s services. If a payment is declined, missed, returned, or otherwise past due, Team Hired may continue attempting to charge Client’s payment method on file until the balance is settled, and may suspend remittance to the VA until Client’s account is current. Team Hired may charge a reasonable late payment or returned
payment fee where permitted by law and disclosed to Client. Client agrees not to initiate or file any disputes, chargebacks, or claims with their credit card company, bank, or financial institution concerning payments properly made pursuant to these Terms, except as
permitted by applicable law. Unauthorized chargebacks may be treated as a material breach of these Terms.
5. Payment Facilitation Is Not Payroll or Employer-of-Record Services
Team Hired’s remittance of funds to a VA is performed solely as a limited administrative courtesy and payment-facilitation service on Client’s behalf. Such remittance does not constitute wages, salary, payroll, employee compensation, benefits administration, tax withholding, employee leasing, or employer-of-record services, and does not create any employment, agency, or fiduciary relationship
between Team Hired and any VA or between Team Hired and Client. Each VA is engaged as an independent contractor. Where applicable under U.S. law, VA compensation may be reportable on IRS Form 1099, and no party shall treat any VA as a W-2 employee of Team Hired
or Client. Each party remains responsible for its own tax reporting obligations under applicable law.
6. Independent Contractor Status of VAs; No Employment Relationship
Every VA sourced, placed, introduced, or supported through the Services is an independent contractor. No VA is an employee of Team Hired or of Client by virtue of these Terms or the Services. Nothing in these Terms, and no act of placement, training, coaching, check-in, payment facilitation, or support by
Team Hired, shall be construed to create an employer-employee relationship between any VA and Team Hired, or between any VA and Client, under the laws of the United States, the State of Texas, the Republic of the Philippines, or any other jurisdiction. VAs provide services pursuant to their own independent contractor arrangements, control their own means and methods of work, may provide services to other clients, and are not entitled to employee
wages, benefits, leave, insurance, severance, or statutory employment protections from Team Hired or from Client through these Terms.
7. International Contractors; Philippine and Foreign Law
Client acknowledges that VAs may be located outside the United States, including in the Republic of the Philippines. The parties expressly intend and agree that no VA is an employee under the Philippine Labor
Code or any other foreign labor or employment law, and that neither Team Hired nor Client assumes any obligation to provide Philippine statutory employment entitlements, including without limitation 13th month pay, SSS, PhilHealth, or Pag-IBIG contributions, service incentive leave, separation pay, retirement pay, or security of tenure, or any equivalent entitlements under the laws of any other
jurisdiction. Each VA contracts as an independent professional service provider and is solely responsible for their own registration, licensing, tax, and social contribution obligations in their country of residence. To the
fullest extent permitted by law, the parties agree that these Terms, the Services, and all disputes arising under them are governed exclusively by the laws of the State of Texas as set forth in Section 18, and the parties waive, to the extent waivable, the application of foreign labor and employment laws to the relationships created by these Terms.
8. Client Relationship With VA
Client is responsible for managing the day-to-day working relationship with any VA assigned, introduced, or supported through the Services, including setting tasks, schedules, expectations, and access to Client systems.
Team Hired does not act as Client’s HR department, payroll provider, employer of record, legal advisor, tax advisor, or compliance advisor. Client is responsible for determining and following any laws, rules, contracts, policies, or procedures that apply to client’s use of VA services, including any classification,
tax, data protection, or cross-border compliance obligations applicable to Client.
9. Performance of Services
Team Hired will use commercially reasonable efforts to provide the Services in a professional manner. Services may include VA recruitment support, placement support, onboarding guidance, training materials, operational resources, coaching, replacement support, and related business support services. The Services are not a guarantee of Client’s business success, VA performance, revenue, profitability, or specific outcome. Providing specialized training to a VA regarding Client’s business, systems, preferences, procedures, and expectations remains Client’s responsibility. Team Hired may provide resources to assist with training, but Client is responsible for deciding how those resources are used
within Client’s business. Client acknowledges that perceptions of what constitutes a “qualified” VA can vary. Team Hired will use
commercially reasonable judgment to provide placement support it believes may meet the role
requirements. Subjective dissatisfaction alone does not automatically constitute non-performance by Team Hired.
10. Proprietary Information and Confidentiality
Team Hired and Client acknowledge that they each own their respective proprietary information and technology, including confidential financial information, customer information, contact information, systems, documents, and business materials (“Company Information”). To the extent either party gains
access to the other party’s Company Information, each party agrees to keep such information confidential, not disclose it to unauthorized parties, not use it for unauthorized purposes, and return or delete it upon termination of Services when reasonably requested. Team Hired does not recommend that sensitive Company Information be provided to any VA unless Client has taken appropriate steps to safeguard such information, including appropriate confidentiality, access control, and nondisclosure protections. Team Hired is not responsible for Client’s internal security
practices, Client’s access decisions, or any unauthorized use of Client information by third parties outside Team Hired’s reasonable control. The parties agree that these Terms should be kept confidential except where disclosure is required to legal, accounting, financial, or other professional advisors, or as required by law.
11. Limitation of Liability
To the greatest extent permitted by law, Client releases Team Hired from liability arising out of or related to the Services except where such liability cannot be waived under applicable law. Team Hired makes no representations or warranties except those expressly stated in these Terms. Team Hired does not provide legal, tax, accounting, employment, immigration, or regulatory advice. Client is encouraged to seek independent professional advice regarding any legal, tax, employment, contractor, data security, or business questions.
Client is responsible for all fees properly billed by Team Hired. Team Hired makes no promise as to the exact timeline for finding or replacing a VA, and Client acknowledges that recruiting and onboarding can take time. Team Hired is not liable for false or misleading statements made by any applicant, VA, or third
party during onboarding or the working process, and is not liable for the acts, errors, or omissions of any VA in the performance of services for Client. The parties mutually waive claims for punitive, consequential, indirect, and incidental damages to the extent permitted by law.
12. Indemnification
To the fullest extent permitted by law, Client agrees to indemnify, defend, and hold harmless Team Hired from and against any claims, demands, damages, penalties, assessments, fines, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) any claim by a VA or any government authority, foreign or domestic, that an employment relationship exists between the VA and
Client, or between the VA and Team Hired as a result of Client’s direction, control, or treatment of the VA; (b) Client’s violation of any applicable law in connection with Client’s use of VA services; or (c) any payment, benefit, or entitlement claimed by a VA beyond amounts facilitated under Section 4.
13. Independent Contractor Relationship Between Team Hired and Client
Nothing in these Terms creates an employer-employee relationship between Client and Team Hired. Team Hired is an independent contractor and not an employee of Client or any of Client’s parent companies, subsidiaries, or affiliates. Client has no right to control the means or methods by which Team Hired performs the Services. Team Hired may use consultants, assistants, contractors, vendors, or
other personnel as Team Hired deems necessary to perform the Services.
14. Recruiting Fee for Direct Hire or Continued Engagement After Termination
Client acknowledges that Team Hired invests time, resources, systems, training, screening, placement support, and operational support into sourcing, placing, and training VAs for Client. If Client terminates Services with Team Hired and then directly hires, retains, contracts with, engages, or continues working with any VA, worker, contractor, or employee sourced, introduced, placed, supported, or trained by
Team Hired, Client agrees to pay Team Hired a recruiting fee of Two Thousand Four Hundred Ninety- Seven U.S. Dollars (USD $2,497).
This recruiting fee is separate from monthly service fees and is not a payroll charge, wage payment, employee payment, or buyout of any worker. It is a recruiting and placement fee owed to Team Hired for the value of the sourcing, placement, and training support provided by Team Hired. The recruiting
fee becomes due upon Client’s direct hire, continued engagement, or direct working relationship with the VA after termination of Services with Team Hired, unless Team Hired agrees otherwise in writing.
15. Incorporation of Marketing Materials
These Terms incorporate the marketing materials and benefits to which they are attached and should be read in context with those materials. Team Hired reserves the right to revise marketing materials from
time to time to meet business objectives and client needs, provided that Team Hired gives reasonable notice of material changes where required.
16. Binding Effect
These Terms bind the parties and their respective successors and assigns.
17. Assignment
The Services are customized and personal in nature. Client may not assign the Services to any other person or entity without Team Hired’s written consent. Any unauthorized assignment is void.
18. Governing Law
These Terms, and all matters arising out of or relating to these Terms or the Services, shall be governed exclusively by the laws of the State of Texas, without regard to conflict-of-laws principles, unless applicable law requires otherwise. The parties expressly disclaim the application of the labor and employment laws of the Republic of the Philippines or any other foreign jurisdiction to the relationships
created by these Terms, to the fullest extent permitted by law.
19. Dispute Resolution
The parties agree to engage in good faith mediation of disputes arising in connection with the Services or these Terms before taking formal action to litigate, unless emergency injunctive relief or another immediate legal remedy is reasonably required. A mediator will be selected by agreement of the parties.
The mediator may be a legal professional, business professional, or industry expert. If the parties cannot agree on a mediator, each party may select a mediator and request that the selected mediators choose a neutral mediator.
20. Business Disclosure and Partner Communication
Client acknowledges that Team Hired may have partnerships, referral programs, affiliate relationships, fulfillment arrangements, or white-label service relationships with third parties. Such parties may be compensated for referring clients to Team Hired. Compensation may include commissions, service
credits, referral fees, or other incentives.
Team Hired may share necessary program-related information with partners, including program status, payment status, and general fulfillment updates, to support delivery of Services. Team Hired will not intentionally share sensitive or proprietary business information outside the scope of program participation without Client’s consent, except as required by law or necessary to perform the Services.
Any additional benefits, services, guarantees, pricing arrangements, or incentives offered by a third party are the responsibility of that third party unless expressly confirmed in writing by Team Hired.
21. Service Support and Compliance Check-Ins
Team Hired may conduct periodic check-ins with Client and/or assigned VAs for service quality, program integrity, operational support, replacement planning, training, or compliance-related purposes. These check-ins are quality-assurance and support activities only; they do not constitute supervision, direction, or control of any VA’s work, do not create an employment relationship between Team Hired and any VA
under the laws of any jurisdiction, and do not make Team Hired responsible for Client’s internal worker management, payroll, or employment decisions.
22. Marketing Release
By agreeing to these Terms, Client grants Team Hired and its authorized affiliates and fulfillment
partners the right to use Client’s name, business name, photos, videos, and testimonials for promotional, marketing, educational, and training purposes, unless Client opts out in writing where
applicable. This may include use on websites, social media, advertising, email campaigns, sales materials, presentations, training materials, and educational content.
23. No Employee Payment or Payroll Services
Client acknowledges that these Terms are for Team Hired’s Services only. Except for the courtesy payment-facilitation service described in Sections 4 and 5, these Terms do not include employee payroll, wage payment, benefits administration, tax withholding, employee leasing, employer-of-record services,
or any obligation by Team Hired to pay Client’s employees, contractors, or VAs. Any other payment arrangement between Client and any worker, employee, contractor, VA, or third-party service provider is outside the scope of these Terms unless separately agreed in a written agreement signed by Team Hired.
24. Entire Agreement
These Terms, together with any written order form, invoice, statement of work, or written service description accepted by both parties, constitute the agreement between Client and Team Hired regarding the Services. Any changes to these Terms must be in writing and accepted by both parties.
