Team Hired Terms of Agreement

(1) This Service Order (this “Service Order”), dated as of [DATE] (the “Effective Date”), is entered into by and between [CUSTOMER NAME OR ENTITY] (the “Customer”) and Hire365, LLC aka “Jarvi”, a Florida limited liability company (“Hire365”). Customer and Hire365/Jarvi are referred to herein, individually as a “Party” and collectively as the “Parties.”

(2) Scope of Agreement.
Customer desires to engage Hire365 to access and use the Jarvi Platform for its internal use, and Hire365 is willing to provide such use of the Jarvi Platform to Customer, subject to the terms and conditions of this Service Order and the MSLA (as defined herein). Capitalized terms used in this Service Order but not defined herein shall have the meanings assigned to them in the MSLA.

Any period between the Effective Date and the Service Order Term Start Date will be deemed the Trial Period, subject to restrictions and limitations for Free Trials set forth in the MSLA.

(4) Fees. 
(a) Fees. Total Monthly Fees are due on the Service Order Term Start Date and thereafter monthly in advance. The Service Tier offerings, details, and applicable features and pricing are set forth in the rate card attached hereto as Exhibit A (the “Rate Card”). 
•Team Hired-Jarvi Combo Special Offer Subscription (Training and Recruiting Plugins): Up to five (5) users for $97 per Month
•Training Plugin: Up to 5 Users for $149 Per Month
•Recruiting Plugin:	Up to 5 Users for $149 per Month
•Jarvi Combo Subscription (Training and Recruiting Plugins)	Up to 5 Users for$197 Per Month
•RolePlay Plugin (RolePlay with users in Jarvi)	$49 Per Month
•Additional Users (after using all 5 included users): $10 per Month per user
•Storage	1 TB of Storage: $50 per Month
•Sub-Account (allows master account to distribute candidates and training content to sub-accounts): $299 per Month
TOTAL MONTHLY RECURRING FEES: $97.00

(b)	One-Time Fees. One-time fees are due on the Effective Date and thereafter, if applicable, at the time incurred.
•Setup and Onboarding *One-Time Set Up Fee*: $0

(c) Usage Fees. Additional Usage Fees incurred by Customer ́s use of the Jarvi Platform are due upon purchase or monthly in arrears. The Usage Fees details and applicable pricing is set forth in the Rate Card. 

(5) Payment Terms. 
(a) Initial Payment. An initial payment for the Jarvi Subscription, the Recruiting Plugin, The Training Plugin, The Role Playing Plugin, The Social Plugin, Storage, and other miscellaneous services (the “Initial Payment”) is due and payable on the Service Order Term Start Date. 

(b) Monthly Payments. Total Monthly Service Fees and Total Monthly Support Fees are due monthly in advance and any certain Usage Fees incurred by Customer ́s use of the Jarvi Platform are due monthly in arrears and will be charged in the next billing cycle. Some Usage for example “Storage” may be use monthly in advance.  Payments are processed monthly on the same day of the month as the Service Order Term Start Date for each subsequent month (e.g., if the Service Order Term Start Date is May 17th, the recurring payment date will be the 17th of each month). If the payment date is later than the number of days in a given month, then the payment date will be the last day of that month (e.g., if the Service Order Term Start Date is May 31st, and the applicable month only has 28 days, the payment date will be the 28th for that month). Hire365/Jarvi will provide Customer an invoice each month with an itemized description of the Fees, including without limitation the Total Monthly User Fees and Total Monthly Support Fees for the next month, any Usage Fees incurred in the prior month, and any One Time Fees, as applicable. 

(c) Payment Method. Customer must provide a payment method at https://app.jarvi.io/ Customer will be automatically charged on Customer ́s selected Payment Method for all Fees incurred on Customer ́s Account. 

(d) This agreement is billed through a third-party affiliate, which shall distribute subscription funds to Jarvi.io in accordance with a separate service agreement between the third-party and Hire365, LLC.

(6) Standard Terms and Conditions.
This Service Order is subject to and will be governed by the terms of the Master Services and License Agreement (located at https://jarvi.io/terms) (the “MSLA”). In the event of any inconsistency or conflict between this Service Order and the MSLA, the terms of this Service Order will control. This Service Order, the MLSA, together with any exhibits or references herein or therein (collectively, the “Agreement”), contains the entire agreement and understanding of the Parties with respect to the subject matter of the Agreement and supersedes all prior and contemporaneous discussions, negotiations, understandings, and agreements between the Parties, whether written or oral, concerning this subject matter. 
By signing this Service Order, or otherwise using the Jarvi Platform, you are accepting and agreeing to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to the terms and conditions of this Agreement. If you do not agree to this Agreement, do not use the Jarvi Platform.

IN WITNESS WHEREOF, the Parties hereto have caused this Service Order to be executed by their respective duly authorized representatives as of the Effective Date.

Jarvi RATE CARD

Storage Fees 
•Cost for 1 TB of storage in your account: $50 per Month
•Cost for 2.5 TB of storage in your account: $120 per Month
•Cost for 5 TB of storage in your account: $235 per Month
•Cost for 10 TB of storage in your account: $465 per Month
•Cost for 20 TB of storage in your account: $910 per Month
•Cost for 50 TB of storage in your account: $2,170 per Month
•Cost for 50 TB of storage in your account: please discuss with support

•Marketplace Credits – credits are $5 a piece to purchase access to candidates and interview/resumes (minimum of a 25 credits per order): $5 per Credit
•Social Plugin – look up social media links for candidates (free to activate): 5¢ per candidate lookup

Third Party Invoicing

I understand that the fee for my monthly Jarvi.io subscription will be bill through AgencyShield LLC/Team Hired, which has an affiliate agreement with Jarvi.io.
